Delta Prime Systems provides custom software development, mobile and web applications, cloud-based systems, and technology consulting services. Specific service deliverables, timelines, and costs will be outlined in individual agreements or proposals.
- Payment Terms
All payments must be made according to the payment schedule stated in your project agreement or invoice.
We accept payments via bank transfer, credit card, and other approved methods.
Late payments may result in suspension of services or additional late fees.
All deposits are non-refundable unless otherwise agreed in writing.
- Client Responsibilities
Clients agree to:
Provide accurate and timely information for project execution.
Respond promptly to feedback and approval requests.
Maintain communication throughout the project duration.
Delta Prime Systems is not responsible for delays resulting from a client’s failure to provide requested materials or feedback.
- Intellectual Property
All code, designs, and deliverables remain the property of Delta Prime Systems until full payment is received.
Upon final payment, ownership of the final deliverables will be transferred to the client unless otherwise agreed in writing.
We reserve the right to display completed work in our portfolio unless a confidentiality agreement prohibits it.
- Confidentiality
Both parties agree to keep all project-related information confidential. We will not share your data or proprietary information with third parties without your written consent.
- Warranty & Support
We offer a limited bug-fix warranty period (usually 14–30 days post-delivery) unless otherwise agreed.
Additional support, updates, or feature changes may be charged separately under a maintenance agreement.
- Limitation of Liability
Delta Prime Systems will not be liable for:
Any indirect, incidental, or consequential damages
Loss of data, revenue, or profits
Delays due to third-party tools or hosting providers
Our liability for any claim related to our services will not exceed the amount paid by the client for those services.
- Termination
Either party may terminate services with written notice. Upon termination:
The client is responsible for payment of completed work.
Any unpaid balances are due immediately.
No further work will be delivered unless outstanding payments are settled.
- Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States.
- Changes to Terms
Delta Prime Systems may update these Terms and Conditions at any time. Continued use of our services after such changes implies acceptance of the updated terms.
